Introduction and Agreement
These Terms of Service (this "Agreement") are a binding contract between you or the entity you represent ("Customer," "you," or "your") and MODERN HUMANS AI LLC ("Company," "Modern Humans AI," "we," or "us"). This Agreement governs your access to and use of the modernhumans.ai website (the "Site") and our social media management platform and AI Services, as defined herein.
This Agreement takes effect when you click the "I Accept" button, create an account, execute an order, or access or use our Services (the "Effective Date"). By using our Services, you: (a) acknowledge that you have read and understand this Agreement and agree to be bound by its terms; and (b) represent and warrant that you are at least eighteen (18) years old and have the authority to enter into this Agreement.
If you do not agree to these Terms or our Privacy Policy, you must not access or use our Services.

Our Services include AI-powered content generation and automated social media posting. You acknowledge that AI systems may produce inaccurate, inappropriate, or harmful content. You are solely responsible for reviewing, editing, and approving all content before publication. We strongly recommend implementing human oversight for all AI-generated content.
Definitions
- "AI Customer Data" means all information, content, and data submitted by you through our Services, including inputs and outputs from AI features.
- "AI Customer Input" means content, prompts, brand guidelines, or other materials you provide to our AI systems.
- "AI Customer Output" means content generated by our AI systems in response to your inputs, including social media posts, captions, and blog content.
- "AI Services" means our artificial intelligence-powered features for content generation, social media management, and automation.
- "Platform Privacy Policy" means our comprehensive privacy policy for platform users, available at modernhumans.ai/platform-privacy-policy.
- "Services" means our social media management platform, AI content generation tools, scheduling features, analytics, and all related services.
- "Social Media Accounts" means your third-party social media platform accounts (LinkedIn, Instagram, Facebook, YouTube, Pinterest, TikTok, etc.) that you connect to our Services.
- "User Content" means all content, data, and materials you upload, submit, or create using our Services.
Description of Services
Modern Humans AI provides a comprehensive social media management platform that includes:
- AI-powered content generation and copywriting for social media posts
- Social media account integration and OAuth connectivity
- Content scheduling and automated posting across multiple platforms
- Social media analytics and performance tracking
- Brand voice management and content personalization
- AI-generated blog content and website integration
- Social media account management and optimization tools
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.
Account Registration and Security
To access our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Use strong passwords and enable two-factor authentication when available
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized account access

- Ensure you have authority to bind any entity you represent
- Maintain one account per person or business entity (multiple accounts may result in suspension)
You are responsible for all activities that occur under your account, including any unauthorized use by employees, contractors, or third parties with access to your credentials. We reserve the right to suspend or terminate accounts with inaccurate, false, or incomplete information.

Our Services allow you to connect your Social Media Accounts through secure OAuth authentication. By connecting your accounts, you authorize us to:
- Access basic profile information as permitted by each platform
- Post content on your behalf according to your scheduling preferences

- Interact with platform APIs on your behalf
- Access and modify your social media content as directed

Your use of our Services is subject to the API Terms of Service of each connected platform. You acknowledge that:

- Platforms may implement rate limiting, access restrictions, or service changes
- We are not responsible for platform API changes, outages, or policy updates
- Platform suspensions or restrictions may affect your access to our Services
- You must comply with all platform-specific content policies and guidelines

- Human oversight and verification are strongly recommended for all AI output
- AI-generated content may be similar to content generated for other users
- AI systems may produce content that violates platform guidelines or legal requirements
- AI technology is rapidly evolving and may change without notice

Our Services include AI-powered content generation that creates social media posts, captions, blog articles, and other written content. By using these services, you acknowledge and agree to the following critical responsibilities:
Your Mandatory Content Review Responsibilities
YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR:
- Content Accuracy: Reviewing, verifying, fact-checking, and ensuring the complete accuracy of all AI-generated content before any publication or use
- Legal Compliance: Ensuring all content complies with federal, state, local, and international laws, regulations, and industry standards
- Platform Compliance: Verifying content meets all social media platform community guidelines, terms of service, and advertising policies
- Brand Protection: Ensuring all content aligns with your brand voice, values, messaging standards, and corporate policies
- Quality Assurance: Implementing comprehensive quality control processes and human editorial oversight
- Risk Assessment: Evaluating potential risks, controversies, or sensitivities in AI-generated content
- Backup and Recovery: Maintaining copies of all content and implementing data recovery procedures
- Performance Monitoring: Tracking content performance and impact on your social media presence
Critical AI Content Warnings and Limitations
CRITICAL WARNING:
AI-generated content may contain factual errors, inappropriate language, biased viewpoints, offensive material, or legally problematic statements. You must implement mandatory human review processes before publishing any AI-generated content. We strongly recommend legal review for any AI content that makes claims, provides advice, or could be construed as professional guidance.
WE EXPLICITLY DISCLAIM ALL LIABILITY FOR:
- Content Accuracy: Any inaccurate, misleading, false, or outdated information in AI-generated content
- Factual Errors: Incorrect facts, statistics, dates, quotes, or other factual information
- Intellectual Property Violations: Any copyright infringement, plagiarism, trademark violations, or other IP issues
- Defamation and Harm: Any defamatory, libelous, slanderous, or harmful statements about individuals, entities, or brands
- Professional Advice Claims: Content that may be construed as legal, medical, financial, investment, tax, or other professional advice
- Bias and Discrimination: Any biased, discriminatory, offensive, hateful, or inappropriate content generated by AI systems
- Platform Violations: Content that violates social media platform community guidelines, terms, or advertising policies
- Regulatory Violations: Non-compliance with FTC, FDA, SEC, or other regulatory requirements
- Privacy Violations: Unauthorized disclosure of personal, confidential, or proprietary information
- Competitive Harm: Content that damages business relationships or competitive positions
- Reputational Damage: Any harm to your personal or business reputation from AI-generated content
- Financial Losses: Any financial losses, lost opportunities, or business damages from AI content
FTC and Advertising Compliance
YOU ARE SOLELY RESPONSIBLE FOR:
- Compliance with FTC guidelines for sponsored content, endorsements, and material connections
- Proper disclosure of paid partnerships using #ad, #sponsored, #partnership, or equivalent tags
- Truth in advertising and substantiation of all claims made in content
- Compliance with platform-specific advertising policies and guidelines
- Proper disclosure of affiliate relationships and financial incentives
- Age-appropriate content and compliance with COPPA requirements
- Industry-specific regulatory compliance (finance, healthcare, legal, etc.)
- International advertising standards and regulations
Content Monitoring and Review
Important Disclaimers:
- We do not monitor, review, approve, or edit content before it is posted to your social media accounts
- We do not provide editorial oversight or content moderation services
- You are solely responsible for implementing content review and approval processes
- We recommend establishing clear editorial guidelines and approval workflows
- Consider legal review for content that makes claims or provides guidance
Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws, regulations, ordinances, or third-party rights
- Transmit any harmful, illegal, defamatory, obscene, or objectionable content
- Engage in harassment, bullying, stalking, or threatening behavior
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with, disrupt, or damage our Services, servers, or networks
- Use our Services for competitive purposes without written consent
- Reverse engineer, decompile, or attempt to extract source code from our Services

- Use our Services to harm minors or vulnerable populations

Service Availability and Technical Dependencies

Our Services rely on various third-party providers, and you acknowledge that service interruptions, outages, and technical failures are inevitable and beyond our complete control:

- AI/ML Providers: OpenAI, Anthropic, Google, Microsoft, and other AI service providers
- Cloud Infrastructure: Supabase, AWS, Google Cloud, Azure, and other hosting providers
- Payment Processors: Stripe, PayPal, and other payment services
- Email Services: Transactional and marketing email providers
- Analytics Providers: Third-party analytics and tracking services
- Content Delivery Networks: CDN and media hosting services
No Refunds for Technical Issues or Service Interruptions
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT NO REFUNDS, CREDITS, COMPENSATION, OR SERVICE LEVEL ADJUSTMENTS WILL BE PROVIDED FOR:
- Service downtime, outages, or interruptions of any duration (minutes, hours, days, or longer)
- API outages, rate limiting, or restrictions by third-party providers
- Slow performance, reduced functionality, or degraded service quality
- Failed automations, missed posts, or scheduling errors due to technical issues
- Social media platform changes, outages, or policy modifications affecting our services
- Lost opportunities, missed engagements, or reduced social media performance
- Data processing delays, synchronization failures, or analytics discrepancies
- Maintenance windows, service updates, or system upgrades
- Security incidents, cyber attacks, or unauthorized access attempts
- Natural disasters, acts of God, or force majeure events
- Government actions, regulatory changes, or legal restrictions
- Internet service provider issues or network connectivity problems
- Data Loss: Loss of scheduled posts, content drafts, analytics data, or user content
- Platform Data Loss: Content deleted, restricted, or removed from social media platforms
- Backup Failures: We are not responsible for backing up your content or data

WE EXPLICITLY DISCLAIM ALL LIABILITY AND RESPONSIBILITY FOR:
- Account Security Breaches: Any unauthorized access, hacking, phishing, or security compromises of your Social Media Accounts
- Data Theft and Loss: Loss, corruption, deletion, or unauthorized access to your content, followers, analytics, or account data
- Platform Policy Changes: Changes to third-party platform APIs, policies, algorithms, or functionality that affect our Services
- Account Restrictions: Suspension, termination, shadow-banning, or restriction of your Social Media Accounts by the platforms
- Content Moderation: Removal, restriction, or demonetization of content posted through our automation systems
- Performance Degradation: Decreases in reach, engagement, followers, or other social media metrics
- Algorithm Changes: Platform algorithm modifications that affect content visibility or performance
- Competitive Disadvantages: Loss of competitive position due to platform changes or restrictions
- Revenue Impact: Lost revenue, advertising income, or business opportunities from social media issues
- Identity Theft: Unauthorized use of your social media accounts or personal information
- Reputational Harm: Damage to personal or business reputation from platform-related issues
Platform-Specific Risk Acknowledgments
You acknowledge and accept the inherent risks associated with each social media platform, including but not limited to:
- Frequent policy and algorithm changes that may affect content performance
- Account verification, restriction, or termination without warning
- Content removal or suppression by automated moderation systems
- Data privacy and security vulnerabilities on third-party platforms
- Platform outages, technical issues, or service degradation
- Changes to API access, rate limits, or functionality
Intellectual Property Rights and Protections
Our Intellectual Property
The Services and all content, features, functionality, software, algorithms, and proprietary technology are owned by Modern Humans AI and protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use our Services strictly in accordance with these Terms.
Your Content and Data Ownership
You retain ownership of your User Content and AI Customer Data. However, by using our Services, you grant us a worldwide, non-exclusive, royalty-free license to:
- Process, store, and transmit your content to provide our Services
- Use aggregated, anonymized data to improve our Services and develop new features
- Post content to your Social Media Accounts as specifically directed by you
- Create derivative works necessary to provide our Services
- Backup and restore your content for service continuity
Important Clarification: We do not use your individual content, brand data, or proprietary information to train our general AI models or provide services to other customers.
AI-Generated Content Ownership and Risks
Regarding AI-generated content created through our Services:
- You may claim ownership of AI-generated content, subject to applicable intellectual property laws
- AI-generated content may not qualify for copyright protection in some jurisdictions
- Similar content may be generated for other users using similar inputs
- You bear all risks related to AI content ownership, originality, and intellectual property claims
- We make no warranties regarding the originality or intellectual property status of AI-generated content
Payment Terms and Financial Obligations
Subscription Fees and Billing
When you purchase a subscription, you agree to:
- Pay all fees as specified in your chosen plan, including setup fees and overage charges
- Authorize automatic billing for recurring subscriptions
- Pay all applicable federal, state, local, and international taxes and fees
- Accept that failed payments may result in immediate service suspension
- Provide accurate and current payment information
- Notify us immediately of any changes to payment methods
- Accept liability for all charges incurred under your account
Fee Changes and Price Increases
We may change subscription fees, implement new charges, or modify pricing structures with 30 days' notice to existing customers. Continued use of our Services after fee changes constitutes acceptance of the new rates. Free trial periods may be offered at our discretion with specific terms communicated at signup. Price increases may be implemented for:

- Third-party cost increases (AI providers, platform fees, infrastructure)
- Regulatory compliance requirements
- Market rate adjustments
Overages and Usage-Based Charges
Certain Services may be subject to usage limits and overage charges:
- AI content generation limits and per-use charges
- Social media post volume restrictions and additional fees
- Data storage limits and excess storage charges
- API call limits and overage billing
Cancellation, Termination, and Account Closure
Cancellation by You
You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:
- Access continues until the end of your current billing period
- All automations, scheduling, and AI services will immediately cease functioning
- You lose access to all premium features and stored content
- No refunds will be provided for unused portions of prepaid services
- Account data may be permanently deleted after 30 days
- Social media connections will be automatically revoked
- Scheduled posts will be cancelled and not published
- You may export your content and data before account termination through your account settings
Immediate Effect of Cancellation
When you cancel or your subscription expires, all automations, posting schedules, AI services, and platform integrations will immediately cease operation. You are solely responsible for implementing alternative solutions before cancellation to maintain business continuity.
Termination by Us
We may suspend or terminate your account immediately, with or without notice, for:
- Violation of these Terms or our policies
- Non-payment of fees or disputed charges
- Fraudulent or illegal activity
- Abuse of our Services or systems
- Violation of third-party platform terms
- Security risks or threats to our infrastructure
- At our sole discretion for any reason
Effect of Termination
Upon termination for any reason:
- All rights and licenses granted to you immediately terminate
- You must immediately cease all use of our Services
- We may delete your account data and content
- Your payment obligations for charges incurred prior to termination remain in effect
- You remain liable for all indemnification and confidentiality obligations
Comprehensive No Refunds Policy
ALL PAYMENTS ARE FINAL, NON-REFUNDABLE, AND NON-TRANSFERABLE.
We do not provide refunds, credits, prorated billing, chargebacks, or any form of monetary compensation for:
- Cancelled subscriptions or early termination
- Unused Services, features, or time remaining on subscriptions
- Dissatisfaction with Services, features, or performance
- Changes in business needs, strategy, or circumstances
- Technical issues, outages, downtime, or service interruptions
- Failure to achieve desired results, metrics, or business outcomes
- Social media platform changes, restrictions, or policy modifications
- Account suspensions or terminations by third-party platforms
- AI-generated content quality, accuracy, or appropriateness
- Data loss, corruption, or unavailability
- Security incidents or unauthorized access
- Force majeure events or circumstances beyond our control
- Violation of these Terms resulting in account termination
- Migration to competing services or platforms
By purchasing our Services, you explicitly acknowledge and agree to this comprehensive no-refunds policy. The only exceptions are: (a) those specifically required by applicable consumer protection laws in your jurisdiction; and (b) refunds issued under our 90-Day Money-Back Promise as described below.
90-Day Money-Back Promise
Notwithstanding the No Refunds Policy above, new subscribers are eligible for a one-time refund under our 90-Day Money-Back Promise, subject to the following conditions:
- Eligibility: Only available to first-time subscribers who have maintained an active, paid subscription for at least 90 consecutive days.
- Request Window: Refund requests must be submitted between day 90 and day 100 of your subscription. Requests outside this window will not be honored.
- Request Process: To request a refund, email [email protected] with the subject line "90-Day Money-Back Request" and include your account email and reason for dissatisfaction.
- Refund Amount: Eligible refunds will include up to 90 days of subscription fees paid. Any fees paid beyond 90 days are non-refundable.
- One-Time Only: This promise is available once per customer or business entity. Subsequent subscriptions are not eligible.
- Account Termination: Upon refund approval, your account will be immediately terminated and all data, content, and scheduled posts will be permanently deleted.
- Exclusions: This promise does not apply to: (a) accounts terminated for Terms violations; (b) accounts with disputed charges or chargebacks; (c) enterprise or custom-priced agreements; (d) promotional or discounted subscriptions unless explicitly stated.
- Sole Discretion: We reserve the right to deny refund requests that we reasonably believe are fraudulent, abusive, or made in bad faith.
This 90-Day Money-Back Promise may be modified or discontinued at any time. The terms in effect at the time of your subscription signup will apply to your eligibility.
No Guarantees, Warranties, or Results
WE MAKE ABSOLUTELY NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS ABOUT RESULTS, OUTCOMES, PERFORMANCE, OR BENEFITS YOU MAY ACHIEVE.
You acknowledge and agree that:
- Results depend entirely on numerous factors beyond our control, including your implementation, market conditions, competition, and external circumstances
- Past performance by us or other users does not guarantee future results for you
- We do not guarantee specific growth metrics, engagement rates, follower increases, or business outcomes
- Success depends entirely on your business model, execution, content quality, and market factors
- Social media algorithms, policies, and best practices change frequently and unpredictably
- AI technology limitations may affect content quality and effectiveness
- Third-party platform changes may negatively impact your results
- Market conditions, competition, and consumer behavior are beyond our control
- Your industry, target audience, and business model significantly affect outcomes
- Technical skills, marketing knowledge, and time investment impact success
Export Control and International Compliance
Our Services utilize software and technology that may be subject to United States export control laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). You agree to:
- Comply with all applicable U.S. export control laws and regulations
- Not export, re-export, or transfer our Services to prohibited countries or entities
- Not use our Services in violation of any trade sanctions or embargoes
- Obtain any necessary export licenses or governmental approvals
- Not provide access to our Services to prohibited persons or entities
- Comply with all local laws and regulations in your jurisdiction
Privacy and Data Protection
Your use of our Services is governed by our comprehensive privacy policies:

OUR SERVICES ARE PROVIDED STRICTLY ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that Services will be uninterrupted, error-free, secure, or available
- Warranties about the accuracy, reliability, completeness, or timeliness of AI-generated content
- Warranties regarding the performance, effectiveness, or results of our Services
- Warranties about third-party platform integration, compatibility, or functionality
- Warranties about data security, privacy protection, or system integrity
- Warranties arising from course of dealing, usage of trade, or course of performance
ADDITIONAL DISCLAIMERS:
- We make no representations about the suitability of our Services for your specific needs
- We do not warrant that our Services will meet your requirements or expectations
- We do not guarantee compatibility with your systems, software, or devices
- We make no warranties about third-party content, services, or platforms
- Some jurisdictions do not allow warranty exclusions, so these limitations may not apply to you
Maximum Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MODERN HUMANS AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, punitive, or exemplary damages
- Loss of profits, revenue, business opportunities, or anticipated savings
- Loss of data, goodwill, reputation, or business interruption
- Damages arising from AI-generated content or social media activities
- Damages from third-party platform changes, outages, or restrictions
- Damages from security breaches, unauthorized access, or data theft
- Damages from service interruptions, technical failures, or system errors
- Any other damages, whether foreseeable or not
TOTAL LIABILITY CAP: Our total aggregate liability for all claims arising from or related to these Terms or our Services shall not exceed the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim.
TIME LIMITATION: Any claim must be brought within one (1) year after the occurrence of the event giving rise to the claim or be forever barred.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you to the extent prohibited by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Modern Humans AI, its officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- Your use of our Services or violation of these Terms
- Your User Content, AI-generated content, or any content you publish
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable laws, regulations, or third-party platform terms
- Content posted to your Social Media Accounts through our Services
- Any harm caused by reliance on AI-generated content
- Your breach of any representations, warranties, or obligations under these Terms
- Any negligent or wrongful conduct by you or anyone using your account
You may not settle any claim against us without our prior written consent. We reserve the right, at our option, to assume the exclusive defense and control of any matter subject to indemnification by you.
Dispute Resolution
Binding Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association in Nashville, Tennessee, rather than in court.
You expressly waive your right to:
- A jury trial
- Participate in class action lawsuits or class-wide arbitration
- Seek punitive or exemplary damages

Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any legal proceedings not subject to arbitration must be brought exclusively in the state or federal courts located in Nashville, Tennessee.
Changes to These Terms
We may update these Terms at any time in our sole discretion. Material changes will be communicated via email to registered users with 30 days' notice. Non-material changes will be effective immediately upon posting.

- Force Majeure: We shall not be liable for any delays or failures due to circumstances beyond our reasonable control, including but not limited to social media platform outages, API changes, government actions, natural disasters, or cyber attacks.
- Survival: Provisions that by their nature should survive termination shall survive, including but not limited to payment obligations, indemnification, disclaimers, limitation of liability, and dispute resolution.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except as expressly stated.
